These Terms of Service (the "Terms") govern your access to and use of the services provided by Orizone.io ("Orizone", "we", "us", or "our").
Our services include:
- our websites (the "Website"), including any landing or marketing pages, and
- our productivity and assistant application (the "App"), which integrates our virtual assistant called "Ori" (the "Assistant"),
collectively referred to as the Services.
By accessing or using any part of the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
If there is any discrepancy between the English and French versions of these Terms, the French version will prevail for users located in the EU/EEA.

2. Eligibility and Account Registration
2.1 Eligibility
You may use the Services only if:
- you are at least 16 years old (or older, if required by the laws of your country), and
- you have the legal capacity to enter into a binding agreement with Orizone.
If you use the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" and "your" refer to that entity.
2.2 Account Registration
To access certain features of the App, you must create an account through our authentication provider or another method we specify.
You agree to:
- provide accurate, current and complete information during registration, and
- keep your account information up to date.
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must promptly notify us of any unauthorised use or suspected unauthorised use of your account.
We reserve the right to refuse, suspend or cancel an account if any information provided is inaccurate, incomplete, misleading or otherwise violates these Terms.
3. Description of the Services
3.1 General
The Services are designed to help you organise your work and personal life, manage tasks, and make better use of your time. They may include, for example:
- capturing and organising tasks, projects, and goals,
- connecting to third-party services (such as Google Workspace) to surface tasks and events,
- providing AI-powered assistance via the Assistant, including suggestions, summaries, classifications, and content drafts.
3.2 Assistant and AI Features
The Assistant uses artificial intelligence (AI) models and other automated systems to generate suggestions, summaries, classifications, and other outputs based on your inputs and your connected data.
You acknowledge and agree that:
- AI outputs may be incomplete, inaccurate, or inappropriate, and may not always reflect your intentions or context.
- You remain solely responsible for reviewing, validating, and deciding whether and how to use any AI-generated content or suggestions.
- The Services are not a substitute for professional advice (including legal, medical, financial, or other regulated advice).
3.3 Beta Features and Experimental Services
From time to time, Orizone may offer new or experimental features, marked as "beta", "preview", "experimental" or similar ("Beta Features").
Beta Features are provided for testing and feedback purposes only, may change at any time, and may be discontinued without notice. They are provided "as is" and may be less reliable than other parts of the Services.
4. Your Use of the Services
4.1 Licence
Subject to your compliance with these Terms, Orizone grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to:
- access and use the Website, and
- access and use the App (including the Assistant)
for your personal or internal business purposes only.
4.2 Prohibited Uses
You agree not to:
1. Use the Services in any manner that violates any applicable law or regulation.
2. Use the Services to infringe the rights of others, including privacy, publicity, and intellectual property rights.
3. Upload, store, or share content that is unlawful, harmful, abusive, harassing, defamatory, obscene, hateful, discriminatory, or otherwise objectionable.
4. Attempt to gain unauthorised access to any systems, networks or accounts related to the Services, or circumvent any security or access control measures.
5. Probe, scan, or test the vulnerability of the Services or any related system or network.
6. Interfere with or disrupt the Services or servers or networks connected to the Services, including by transmitting viruses, malware, or other harmful code.
7. Reverse engineer, decompile, disassemble or attempt to derive the source code or underlying models of any part of the Services, except where permitted by mandatory law.
8. Use the Services to develop, train, or improve competing products or services in a way that violates these Terms or applicable law.
9. Sell, resell, sublicense, lease or otherwise make the Services available to any third party, except as expressly permitted by Orizone.
10. Use the Services in any high-risk context where inaccurate or incomplete outputs could result in death, personal injury, or severe physical or environmental damage.
We reserve the right to investigate and/or suspend or terminate your account if we suspect any breach of these Terms, including this acceptable use section.
5. User Content
5.1 Definition
"User Content" means any content that you upload, submit, import, store, or otherwise make available through the Services, including but not limited to tasks, notes, documents, comments, email excerpts, calendar data, attachments, and prompts you send to the Assistant.
5.2 Ownership
You retain all rights, title, and interest in and to your User Content, subject to the rights granted to Orizone under these Terms.
5.3 Licence to Orizone
To operate, maintain, and improve the Services, you grant Orizone a worldwide, non-exclusive, royalty-free licence to use, reproduce, host, store, process, modify, adapt, translate, and display your User Content solely for the following purposes:
- providing and operating the Services, including the Assistant and AI features;
- maintaining and securing the Services;
- preventing fraud, abuse or security incidents;
- complying with legal obligations; and
- improving and developing the Services, in aggregated or anonymised form where reasonably possible.
We will not use your User Content to train AI models in a way that would allow other customers to see or reconstruct your specific data, unless you explicitly opt into such a programme.
5.4 Your Responsibility
You are solely responsible for:
- ensuring that you have all necessary rights to upload, share, or process your User Content through the Services; and
- the accuracy, quality, and legality of your User Content.
You must not submit User Content that violates these Terms or any applicable law. Orizone may, but is not obliged to, review or remove User Content that it considers to be in breach of these Terms.
6. Third-Party Services and Integrations
The Services may allow you to connect or interact with third-party services, such as Google Workspace (Gmail, Google Calendar) or others.
When you enable an integration:
- You authorise Orizone to access and process data from the third-party service on your behalf, as necessary to provide the relevant features.
- Your use of the third-party service is governed by that provider’s separate terms and privacy policy. Orizone is not responsible for third-party services and does not control how they operate.
You can disable integrations at any time using the settings in the App or the third-party provider’s own settings. Disabling an integration may affect or limit some functionalities of the Services.
7. Plans, Billing and Payments
7.1 Subscription Plans
Some features of the Services may be offered on a paid subscription basis (a "Plan"). Details of the available Plans, including pricing and features, are provided on the Website or within the App.
We may change the Plans (including pricing, limits, or features) from time to time. Changes will apply to new subscription periods; if required by law, we will notify you in advance of significant changes.
7.2 Free Trials and Promotions
Orizone may offer free trials, discounted periods, or other promotional offers. The specific terms of any such offer will be communicated at the time you sign up.
We reserve the right to modify or withdraw any promotional offer at any time, in accordance with applicable law.
7.3 Billing and Payment
If you subscribe to a paid Plan:
- You authorise Orizone and its payment provider to charge you the applicable fees on a recurring basis (e.g. monthly or annually), using the payment method you provide.
- Fees are generally non-refundable, except where required by law or expressly stated otherwise.
- You are responsible for any applicable taxes, duties, or charges imposed by public authorities.
If a payment cannot be processed, we may suspend or limit your access to the Services until payment is successfully completed.
7.4 Upgrades and Downgrades
If you upgrade your Plan, the change may take effect immediately or at the start of your next billing period, depending on how we present the change in the App.
If you downgrade your Plan, certain features or limits may change or become unavailable. Some content or data associated with higher-tier features may no longer be accessible, subject to applicable law and our data retention practices.
7.5 Cancellation
You may cancel your subscription at any time via the App or by following the instructions provided on the Website. Cancellation will take effect at the end of the current billing period, unless otherwise specified.
Cancelling your subscription does not automatically delete your account or all associated data. To request deletion, please follow the instructions in our Privacy Policy or contact us.
8. Intellectual Property
8.1 Orizone’s Rights
The Services, including the Website, App, Assistant, underlying software, AI models (to the extent they are our property or licensed to us), logos, trademarks, and all related content and materials (excluding User Content) are owned by Orizone or its licensors and are protected by intellectual property laws.
Except for the limited licence granted in Section 4.1, nothing in these Terms transfers any intellectual property rights to you.
8.2 Feedback
You may choose to provide comments, suggestions, or ideas about the Services ("Feedback"). By providing Feedback, you grant Orizone a worldwide, perpetual, irrevocable, royalty-free licence to use, modify, and exploit the Feedback without restriction or obligation to you.
9. Privacy and Data Protection
Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect personal data. The latest version of the Privacy Policy is available on the Website.
By using the Services, you acknowledge that you have read and understood the Privacy Policy.
If you use the Services on behalf of others (for example, your employees or team members), you are responsible for ensuring that you have a legal basis to share their data with Orizone and that they are informed about our processing activities, in accordance with applicable data protection laws.
10. Disclaimers
To the fullest extent permitted by law:
1. The Services are provided on an "as is" and "as available" basis, without any warranties of any kind, whether express, implied, or statutory.
2. Orizone does not guarantee that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
3. Orizone does not make any promises regarding the accuracy, completeness, reliability, or timeliness of any outputs generated by the Assistant or other AI features.
4. Orizone does not provide legal, medical, financial, or other professional advice. You are solely responsible for how you use any information or suggestions provided through the Services.
Nothing in these Terms excludes or limits any warranty or liability that cannot be excluded or limited under applicable law.
11. Limitation of Liability
To the fullest extent permitted by law, and subject to the final paragraph of this section:
1. Orizone will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of (or inability to use) the Services.
2. Orizone’s total aggregate liability for any claims arising out of or relating to the Services or these Terms will be limited to the greater of (a) the amounts you have paid to Orizone for the Services during the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred (100) euros.
Nothing in these Terms is intended to exclude or limit liability for:
- death or personal injury caused by negligence,
- fraud or fraudulent misrepresentation, or
- any other liability that cannot be excluded or limited under applicable law, including mandatory consumer rights.
If you are a consumer located in the EU/EEA, your statutory rights remain unaffected.
12. Indemnification
To the extent permitted by law, you agree to indemnify, defend, and hold harmless Orizone and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
- your use of the Services,
- your User Content, or
- your breach of these Terms or of any applicable law.
This obligation does not apply if you are a consumer and such an obligation would be contrary to mandatory consumer protection law in your jurisdiction.
13. Suspension and Termination
We may suspend or limit your access to the Services, or terminate your account, if:
- you materially or repeatedly breach these Terms,
- you use the Services in a way that may cause harm to Orizone, the Services, or other users,
- we are required to do so by law or by a court or authority, or
- we decide to discontinue the Services in whole or in part.
Where reasonable, we will notify you in advance of a suspension or termination and provide the reasons. However, we may act without notice if we believe that immediate action is necessary to protect the Services, other users, or Orizone.
You may stop using the Services at any time and may request the deletion of your account according to our Privacy Policy.
Upon termination of your account for any reason:
- your licence to use the Services will immediately end, and
- we may delete or anonymise your data in accordance with our Privacy Policy and applicable law.
14. Changes to the Services and to these Terms
We are continually improving the Services and may add, modify, or remove features from time to time.
We may also update these Terms from time to time. When we do so, we will post the updated version on the Website and indicate the date of the latest revision.
If a change is material and negatively affects your rights or the way you use the Services, we will notify you within the App, by email, or by other reasonable means. Your continued use of the Services after the updated Terms become effective will constitute your acceptance of the changes.
If you do not agree with the updated Terms, you must stop using the Services and, if applicable, cancel your subscription.
15. Governing Law and Jurisdiction
These Terms and any dispute arising out of or in connection with them or with the Services are governed by the laws of France, without regard to conflict of law principles.
If you are acting as a business user, any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Paris, France.
If you are a consumer residing in the EU/EEA, you may benefit from mandatory provisions of the law of your country of residence, and you may bring legal proceedings in the courts of your country of residence.
You may also have access to alternative dispute resolution mechanisms under applicable consumer protection law.
16. Miscellaneous
If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.
No failure or delay by Orizone in exercising any right under these Terms shall be deemed a waiver of that right.
